Whistleblower protection

INFORMATION FOR WHISTLEBLOWERS ON POSSIBLE ILLEGAL CONDUCT ACCORDING TO ACT No. 171/2023 COLL., ON THE PROTECTION OF WHISTLEBLOWERS, AS AMENDED

In accordance with Act No. 171/2023, on Whistleblower Protection (hereinafter referred to as the "Act"), the company allows reporting besides the Ethics Line, which represents (from the company's point of view) the preferred way of reporting a possible violation of the Code of Ethics or about illegal behavior (notifications are received and resolved by the Group Compliance Officer of the Group headquarters),  through the company's internal reporting system.

In accordance with the Law, the company accepts from employees and natural persons who are engaged in economic activity for the benefit of the company other than in a basic employment legal relationship a notification that contains information about a possible illegal act that has occurred or is expected to occur at the company for which the informant, even if indirectly, performed or performs work or another similar activity according to § 2 paragraph 3 of the Act (or was applying for it), or with a person with whom the reporting party was or is in contact in connection with the performance of work or other similar activity, and who:

a) displays signs of a criminal offense,

b) displays signs of an offense for which the law establishes a fine, the upper limit of which is at least CZK 100,000,

c) violates the Law, or

d) violates another legal regulation or regulation of the European Union in the areas listed in the Act.

 

Notification can be submitted both in writing and in-person. The appropriate person to report potential violations according to the Act is:

- head of the human resources department,

-Chief Financial Officer (CFO),

- company attorney (collaborating attorney).

THE ENVELOPE MUST BE MARKED "DO NOT OPEN" and the name of the whistleblower must not be written on the envelope. If the condition is not met, the confidentiality of the identity of the informant or the confidentiality of the communicated information cannot be completely guaranteed.

A knowingly false report is an offense under the Act, for which a fine of up to CZK 50,000 can be imposed.  At the same time, such a whistleblower is not protected against retaliatory measures under the Act.

At any time, anyone can submit a complaint about illegal behavior to the Group's Ethics Line or to the company's Compliance Officer. The Ethics Line handles all reports from all whistleblowers (including those that do not fall into the areas listed in the Act) as well as anonymous reportsThe resolution of these initiatives is governed by the rules of the Compliance program and not by the Act.

The whistleblower has the right to submit a notification that meets the requirements of the Act also to the external notification system of the Ministry of Justice (https://oznamovatel.justice.cz/chci-podat-oznameni/). Violation of obligations under Act No. 253/2008 Coll., on certain measures against the legalization of proceeds from criminal activity and the financing of terrorism, as amended (§ 34a), can be reported to the Financial Analysis Office at  reditel@fau.mfcr.cz.
